Platform Payment Collection Terms

The terms for hosts who collect payments through Aminiti.

These Terms govern your use of payment collection and payout services provided by Aminiti Technologies Inc. (“we”, “our”, “us”) via Stripe Connect (Standard or Express). By registering for payment access or continuing to use our platform, you agree to the following terms:

1. Payment Access & Stripe Relationship

You authorize us to enable you to collect payments through Stripe Connect. This may involve use of either:

  • Connect Standard: you access and manage your Stripe account directly
  • Connect Express: you access payment features via a platform-managed dashboard

You agree to be bound by the Stripe Connected Account Agreement, which is incorporated by reference.

We reserve the right to assign or change your account type at any time to ensure platform compatibility or compliance.

2. Account Suspension & Termination

We and/or Stripe may suspend, restrict, or terminate your access to payment services, payouts, or customer data at any time, with or without notice, including but not limited to the following reasons:

  • Violation of applicable laws or regulations
  • Breach of these Terms or Stripe’s Acceptable Use Policy
  • Fraud, misuse, excessive chargebacks, or abuse of payment systems
  • Circumvention of platform features or payment flow
  • Activities deemed harmful to the platform, end-users, or financial partners

Account termination by Stripe may be permanent and non-negotiable. We are not liable for any resulting loss of access, revenue, or business continuity.

3. Manual Charges and Invoicing Prohibited

You agree not to:

  • Create charges, invoices, subscriptions, or payment links manually through the Stripe Dashboard
  • Use Stripe’s API independently of our platform to initiate payments or hold funds
  • Circumvent platform workflows to access customer payment methods or perform unauthorized transactions

All billing activity must occur through the platform’s tools. Violations may result in:

  • Immediate suspension of your payment privileges
  • Refunds to the affected customers, paid from your Stripe balance
  • Action by Stripe under the Stripe Connected Account Agreement

4. Refunds and Disputes

Payments from your customers are processed by Stripe and paid into your own Stripe account. Aminiti does not hold your funds: Stripe holds and pays out your balance under the Stripe Connected Account Agreement, and any delay or hold on your payouts is Stripe's.

You are responsible for refunds and disputes with your customers. We reserve the right to:

  • Refund a payment, in full or in part, through your Stripe account, including when a session did not start, a station failed, or to resolve a complaint. Stripe deducts the refunded amount from your Stripe balance.
  • Suspend your access to payment features on our platform while we investigate suspected misuse.

5. Compliance and Legal Responsibility

You are solely responsible for:

  • Complying with all local, regional, and national laws, including tax collection and remittance
  • Obtaining any permits, licenses, or regulatory approvals required to operate in your jurisdiction
  • Ensuring your business activities are lawful and properly disclosed to relevant authorities

We assume no responsibility for your failure to comply with legal obligations.

6. Limitation of Liability

We are not liable for:

  • Revenue losses caused by account suspension or Stripe platform restrictions
  • Functionality loss or financial impact related to hardware integrations
  • Installation, removal, or service fees related to our hardware or platform tools
  • Indirect, incidental, or consequential damages arising from the use or inability to use the platform

Use of our platform is at your own risk. No guarantees of uptime, payment processing continuity, or financial outcome are made.

7. Indemnification

You agree to indemnify, defend, and hold harmless Aminiti Technologies Inc., its officers, directors, affiliates, and employees against any claims, losses, liabilities, or expenses (including legal fees) arising from:

  • Your use of payment features
  • Your violation of these Terms or applicable laws
  • Any dispute with your end-users related to billing or service delivery

8. Modifications

We may update or amend these Terms at any time. The most recent version will be published at https://aminiti.com/terms/payment. Continued use of our services after any change constitutes acceptance of the revised terms.

We may notify you of material updates via platform notifications or email, but it is your responsibility to review the Terms periodically.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of British Columbia, Canada, without regard to conflict of law principles.

Any disputes arising from these Terms shall be resolved exclusively in the courts of British Columbia, Canada.
